Payment/Delievery

1.1 Payment of the total total balance must be paid prior to confirmation of the delivery booking.

1.2 Payments by Electronic Funds Transfer (EFT) require approximately two (2) business days before funds are cleared and Rebecca Jayde can confirm the payment as having been received.

1.3. Any delivery date(s) and/or time(s) quoted are given in good faith but they are an approximation only and subject to change without notice and Rebecca Jayde will use its reasonable endeavours to meet specified delivery dates. However, Rebecca Jayde will not be subject to nor incur, and the Client hereby expressly releases Rebecca Jayde from any claim or action whatsoever, arising out of any cause beyond Rebecca Jayde’s reasonable control. Delivery occurs once the Goods arrive to the agreed specifications at the Clientʼs nominated premises after which the Goods are at the Clientʼs risk andRebecca Jayde is not liable for any subsequent loss, deterioration or damage. Delivery will only be effected after the final instalment is received.

3. LIMITATION OF LIABILITY

3.1 Rebecca Jayde is not liable for loss or damage arising directly or indirectly from any act, or omission to act, arising directly or indirectly from any such statement, recommendation, advice, supervision or assistance.

3.2. To the maximum extent permitted by law, Rebecca Jayde shall not be liable for any loss or damage, whether direct or indirect, including consequential losses or damage, arising out of any breach of these Terms and Conditions by Rebecca Jayde or any negligence of its employees or agents in respect of matters in any way connected with the subject matter of these Terms and Conditions.

3.3 Should Rebecca Jayde be liable for any breach of a condition or guarantee pursuant to legislation then its liability for a breach of any such condition or guarantee express or implied shall be limited to the extent permitted by law, as its option to any one or more of the following;

(i) in the case of Goods;  a) the replacement of the Goods or the supply of equivalent Goods; or b) the repair of Goods; or c) the payment of the cost of replacing the Goods or acquiring equivalent Goods; or d) the payment of the cost of having the Goods repaired. 

4. Reproduction & Copyrights

The Client hereby agrees and acknowledges that they are not acquiring any right, title or interest in or to the Goods or any associated copyrights, other than the right to possess, hold and use the Goods for their own personal use. Furthermore, the Client agrees that they will not scan, copy, duplicate or otherwise reproduce the Goods without consent from Rebecca Jayde.

5. Risk

The responsibility of Rebecca Jayde for all Goods ceases upon Goods being delivered and installed at the Clientʼs nominated premises.

6. DAMAGE OR SHORTFALL

6.1. The Client will be responsible for examination of the Goods purchased from Rebecca Jayde upon delivery and must give notice to Rebecca Jayde of any shortages, damages or other errors in delivery. If the Client fails to give such notice within twenty four(24) hours from the date on which the Goods are delivered to the nominated premises, the Goods shall be deemed to have been accepted by the Client. Rebecca Jayde will not be liable for shortages, damage or other errors in delivery unless the Client has submitted a written claim to Rebecca Jayde within seven (7) calendar days of the date on which the Goods are delivered. 

This expressly excludes any claims for breach of any guarantee implied by law, which cannot be excluded byRebecca Jayde.

7. POST DELIVERY ISSUES

Where the Client rejects the Goods at or after delivery on grounds that the Client has changed their mind or does not want some or any of the Goods for any reason, then Rebecca Jayde may at its sole discretion but without any compulsion to do so

(a) confirm with the Client that it will not entertain any request for return of the Goods or rescission of the contract or refund of any moneys paid, or, again at its sole discretion but without any compulsion to do so, 

(b) negotiate a refund, credit, return or swap on such terms as it may be disposed to do.

8. PERSONAL PROPERTY SECURITIES ACT 2009 (PPSA)

8.1. Capitalised terms used in this Clause will have the meaning given to them in the PPSA.

8.2. The Client acknowledges and agrees that this Contract:

(i) Constitutes a “Security Agreement” for the purposes of the PPSA; and

(ii) Creates a Security Interest in:  a) all Goods previously supplied by Rebecca Jayde to the Client (if any); b) all Goods that will be supplied in the future by Rebecca Jayde to the Client; and c) all proceeds received by the Client in relation to the Goods (if any), and that a Financing Statement reflecting these Terms may be registered on the Personal Property Securities Register.

7.3. The Client undertakes to promptly sign any further documents and/or provide any further information (such information to be complete, accurate and up-to-date in all respects) which Rebecca Jayde may reasonably require to:

a) register a Financing Statement or Financing Change Statement in relation to the Security Interest on the Personal Property Securities Register;

b) register any other document required to be registered by the PPSA to perfect the Security Interest granted hereunder; or

c) correct a defect in a statement referred to in Clause (12.3)(a) or (12.3)(b);

8.4. Where the PPSA applies to action taken by Rebecca Jayde in relation to the Goods, the Client waives its right to receive any notices required under ss 95, 118, 121, 130, 132, and 135 of the PPSA.

8.5. The Client waives its rights under s 157 of the PPSA to receive notice of a Verification Statement.
